TERMS AND CONDITIONS OF ENROLLMENT AND USE

THIS IS A LEGALLY BINDING CONTRACT. PLEASE READ IT CAREFULLY BEFORE APPLYING, ENROLLING, OR USING OUR SERVICES.

1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User," "Student," "Participant," or "you") and AWI Academy, an initiative of the Africa Wealth Initiative ("Academy," "We," "Us," or "Our").

These Terms govern your access to and use of our website at www.africawealthinitiative.org, our mobile applications, third-party Learning Management Systems (such as Google Classroom), and your enrollment and participation in any of our educational programs, courses, workshops, or mentorships (collectively, the "Service").

By enrolling in a program, clicking "I Agree," or otherwise accessing or using the Service, you signify your acceptance of these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. ELIGIBILITY AND ACCOUNTS

2.1 Age Requirement.

By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are under 18, you must have a parent or legal guardian review and agree to these Terms on your behalf to enroll in any program.

2.2 Account Security.

To access certain features, you may be required to create an account with us or use an existing third-party account (e.g., Google Account). You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. PROGRAM FEES, PAYMENTS, AND TAXES

3.1 Tuition and Fees.

The fees for each program are published on our website or enrollment forms. By submitting an enrollment application, you agree to pay the full tuition fees indicated for your chosen program.

3.2 Payment Policy.

Unless otherwise expressly agreed in writing, full payment of tuition fees is required prior to the program start date to secure your enrollment and gain access to program materials and the LMS. We reserve the right to revoke access to the Service immediately if payment is not received by the due date. All fees are stated in Nigerian Naira (NGN) unless otherwise noted.

3.3 Taxes.

You are responsible for paying any applicable taxes, levies, or duties imposed by taxing authorities related to your payment for the Service.

4. REFUND AND CANCELLATION POLICY

4.1 General Rule.

Due to the limited capacity of our cohorts and the digital nature of our content, our refund policy is strict to ensure operational sustainability.

All tuition fees paid are non-refundable and non-transferable under any circumstances once payment has been processed, regardless of whether you attend or complete the program.

4.2 Program Cancellation by Academy.

In the unlikely event that AWI Academy cancels a program cohort before it begins, enrolled participants will receive a 100% refund of all tuition fees paid.

5. SCHOLARSHIP TERMS

If you are awarded a scholarship to attend an AWI Academy program, your enrollment is subject to the following additional terms:

Eligibility: Scholarships are awarded based on specific criteria (merit, need, etc.) and are non-transferable.
Conditions: As a scholarship recipient, you may be required to meet certain attendance, participation, and completion standards. Failure to meet these standards may result in the revocation of your scholarship and dismissal from the program.
No Cash Value: Scholarships have no cash value and cannot be redeemed for cash or applied to other programs.

6. INTELLECTUAL PROPERTY AND LICENSE

6.1 Ownership.

All content, materials, methodologies, videos, documents, and software provided through the Service ("Academy Materials") are the exclusive property of AWI Academy or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License to You.

Subject to your compliance with these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Academy Materials solely for your personal, individual educational purposes during the term of your program.

6.3 Restrictions.

You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, or otherwise transfer any Academy Materials without our prior written permission. Sharing your account credentials or course materials with others is a material breach of these Terms.

7. USER CONDUCT AND LMS ACCEPTABLE USE

You agree to use the Service and our Learning Management Systems (like Google Classroom) in a professional and lawful manner. You agree not to:

Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or discriminatory.
Disrupt the learning environment for other participants or instructors.
Upload viruses, malware, or any other malicious code.
Attempt to gain unauthorized access to any part of the Service or other users' accounts.
Engage in academic dishonesty, including plagiarism or cheating.

AWI Academy reserves the right to terminate your enrollment immediately without refund if, in our sole discretion, you violate this section.

8. THIRD-PARTY PLATFORMS AND DATA PRIVACY

8.1 Use of Third-Party Tools.

We use third-party platforms such as Google Classroom, Zoom, and WhatsApp to deliver the Service. By using our Service, you acknowledge that your use of these platforms is also governed by their respective terms of service and privacy policies, over which AWI Academy has no control.

8.2 Privacy and Data Processing.

Your privacy is important to us. Our collection and use of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge and consent that in providing the Service, your personal data may be processed and stored by our third-party service providers (like Google) in accordance with their own privacy practices.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 No Guarantee of Results.

The Service is provided for educational purposes only. AWI Academy makes no representations or warranties regarding specific outcomes, business success, revenue, or employment opportunities that may result from participating in our programs. Your success depends on many factors beyond our control.

9.2 Disclaimer of Warranties.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AWI ACADEMY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AWI ACADEMY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF TUITION FEES PAID BY YOU TO THE ACADEMY FOR THE SPECIFIC PROGRAM GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law.

These Terms and your relationship with the Academy shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

10.2 Amicable Settlement.

In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute amicably through good-faith negotiation for a period of at least thirty (30) days.

10.3 Jurisdiction.

If amicable settlement is not reached, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Nigeria. You hereby consent to the personal jurisdiction and venue of such courts.

11. GENERAL PROVISIONS

11.1 Amendments.

We reserve the right to modify these Terms at any time. We will provide notice of material changes via the Platform or email. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

11.2 Severability.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.3 Entire Agreement.

These Terms constitute the entire agreement between you and AWI Academy regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
